1.Parties and acceptance
This agreement is between [Registered company name] (the “Provider”) and the business that subscribes to the Zenoheld service (the “Customer”).
The Customer accepts these terms when it opens a trial account on the website or starts a subscription from within the product. The person opening the account declares that they are authorised to enter into this agreement on behalf of the Customer.
The date and IP address of the acceptance are recorded. For the Customer, the version in force on the date of acceptance applies.
2.Definitions
- Service: the cloud software and applications accessed from a browser and from mobile devices under the name Zenoheld.
- User: a person to whom the Customer grants access to the Service.
- Person: the billing unit. Every employee of the Customer with an active employee record, and every internal user without an employee record, is one person. Technical accounts, the Provider's staff, and subcontractor, consultant and system accounts defined as external users are not counted.
- Customer data: any data the Customer and its users enter into or upload to the Service, or that the Service generates on the Customer's behalf.
- Period: the monthly or yearly term for which the fee is paid in advance.
3.Scope of the Service
The subscription covers all applications; there is no limit on the number of users or applications. The Provider may add and change features to improve the Service. A change that significantly narrows an existing function is notified at least 30 days in advance.
External services the Customer connects with its own account (such as an e-Document integrator, bank, SMS, WhatsApp or marketplace) are subject to the agreement between the Customer and the provider of that service. The Provider is not responsible for interruptions of these services.
4.Commercial use
The Service is offered to natural and legal persons acting in the course of a commercial or professional activity. The Customer acknowledges that it acquires the Service for this purpose. Accordingly, this agreement is not a consumer transaction within the scope of Law No. 6502 on Consumer Protection.
5.Trial period
A new account can be used free of charge for 15 days; no credit card is required and nothing is charged automatically at the end of the trial.
When the trial ends, the account becomes read-only: records can be viewed and exported, but no new records can be entered. If no subscription is started within 30 days, access to the account is closed. Data is retained for the periods set out in the termination section.
6.Fees
The fee is determined by the Customer's number of active persons. The price list is published in the Pricing section of the website and within the product; it is tiered, meaning that each tier's unit price applies only to the persons falling within that tier. VAT is added to the fees.
- With monthly payment, the fee for each period is calculated from the number of active persons in that period. The count is taken 3 days before the period renews.
- With yearly payment, 10 months' fees are paid and the number of persons at the start of the period is used. The number of persons is updated at the next renewal.
The Provider may change the price list. Changes are notified at least 30 days in advance and apply from the first period starting after the notice; the fee for a period already paid does not change.
7.Payment and invoicing
The fee is collected automatically and in advance at the start of each period from the card defined by the Customer. Card details are entered on the payment institution's secure form; they never reach the Provider's servers and are not stored there.
Invoices are issued as e-Invoices or e-Archive invoices with the company name, tax number and address provided by the Customer. The Customer is responsible for the accuracy of its invoice details.
If payment cannot be collected, the subscription is suspended, the Customer is notified by email and collection is automatically retried several times. The account stays fully open for 7 days, then becomes read-only; access to the data continues. If payment cannot be collected within 30 days, the subscription is closed. When the Customer updates its card, collection is retried immediately and the account is reopened. Details are on the Cancellation, Refund and Payment Terms page.
8.Cancellation
The Customer may cancel its subscription at any time from the Admin › Settings › Subscription & Billing screen within the product. Cancellation takes effect at the end of the paid period; until then the Service can be used in full. No refund is made for the unused part of a paid period. Details are on the Cancellation, Refund and Payment Terms page.
9.Customer obligations
- To protect user accounts and sign-in credentials, and to be responsible for its users' actions on the Service.
- To grant user permissions only to the extent the work requires.
- To enter into the Service only data it has obtained lawfully, and to provide the privacy notices required for personal data.
- Not to use the Service for reverse engineering, unauthorised security scanning or load testing, attempts to access other tenants' data, or resale to third parties.
- To check the content of official returns and notifications such as tax, social security (SGK) and e-Documents. The Service provides tools for these operations; the accuracy of a return is the Customer's responsibility.
10.Customer data
The Customer owns the Customer data. With regard to personal data, the Customer is the data controller and the Provider is the data processor; this relationship is governed by the Data Processing Agreement, which is an annex to this agreement.
The Provider processes Customer data only to provide the Service, give support, ensure security and fulfil its legal obligations. It does not sell Customer data, use it for advertising or use it to train AI models.
The Provider may use aggregated usage statistics that cannot identify anyone (for example, how often a screen is opened) to improve the Service.
11.Termination and return of data
When the agreement ends, the Customer may export its data, or request it from the Provider, for 30 days. After that period, Customer data is deleted or anonymised within 90 days at the latest. Copies remaining in backups are deleted within the normal backup retention cycle.
Records the Provider is legally required to keep, such as invoice and payment records, are kept for the duration of that obligation.
12.Support and service continuity
Support is provided in Turkish at [General contact email]; replies are given within one business day at the latest on business days.
The Provider endeavours to provide the Service with reasonable care and without interruption, but does not guarantee uninterrupted availability. Planned maintenance is announced in advance within the product. A numerical availability commitment applies only if separately agreed in writing.
13.Intellectual property
The software, design and trademark of the Service belong to the Provider. The Customer is granted a non-transferable, non-exclusive right of use for the duration of the subscription. Suggestions and feedback sent by the Customer may be used freely to improve the Service.
14.Confidentiality
The parties keep confidential the other party's trade secrets and non-public information they learn because of this agreement. This obligation continues after the agreement ends.
15.Limitation of liability
Neither party is liable for indirect damages or loss of profit. The Provider's total liability arising from this agreement is limited to the fees paid by the Customer in the 12 months before the event giving rise to the damage. These limits do not apply in cases of intent or gross negligence.
16.Force majeure
While events beyond the parties' control continue, such as natural disasters, epidemics, war, widespread infrastructure and internet outages or decisions of public authorities, the parties' obligations affected by the event are suspended.
17.Suspension and termination
The Provider may suspend the Service by notifying the Customer if the Service is misused, the security of other customers or of the infrastructure is put at risk, or payment is not made. If the breach is not remedied, it may terminate the agreement. The Customer may end the agreement at any time by cancelling.
18.Changes to the agreement
The Provider may change these terms. Changes are notified to the administrator's email and within the product at least 30 days before they take effect. A Customer that does not accept a change may cancel its subscription before the effective date.
19.Notices
Emails sent to the administrator email in the Customer's account and announcements within the product are valid notices. Notices to the Provider are sent to [General contact email] or [Registered email (KEP) address].
20.Evidence
In disputes arising from this agreement, the electronic records in the Provider's systems are accepted as evidence under Article 193 of the Code of Civil Procedure No. 6100.
21.Governing law and jurisdiction
This agreement is governed by the laws of the Republic of Türkiye. Disputes are resolved by [Competent court (e.g. Istanbul Central Courts and Enforcement Offices)].
